RenaissanceRe names new chair, declares dividend and renews buyback plan
RenaissanceRe Holdings Ltd. (NYSE: RNR) announced changes to its board leadership and declared a quarterly dividend of $0.41 per common share.
Henry Klehm III has been appointed Non-Executive Chair of the Board of Directors, replacing James L. Gibbons, who will continue serving as an independent director and Audit Committee member. Stephen C. Hooley was elected as an independent director, succeeding David C. Bushnell, who is retiring after 18 years of service.
The quarterly dividend will be payable on June 30, 2026, to shareholders of record on June 15, 2026.
The board also approved renewal of the company's share repurchase program with total current authorization of $750 million, which includes remaining amounts from prior authorizations. The program allows RenaissanceRe to repurchase shares through open market purchases and privately negotiated transactions. The program will expire when the full authorized value is repurchased unless terminated earlier by the board.
"I want to thank James for his exceptional leadership as Non-Executive Chair over the past decade," said Chief Executive Officer Kevin J. O'Donnell. "His guidance has been invaluable as we navigated a period of significant strategic growth and transformation."
O'Donnell also thanked Bushnell for his service across all three board committees, noting his contributions in finance, capital markets, risk management, operations and investments.
