Aura Biosciences closes $299 million public offering
Aura Biosciences Inc. (NASDAQ: AURA) completed its underwritten public offering, raising approximately $299.4 million in gross proceeds before underwriting discounts and other expenses.
The clinical-stage biotechnology company sold 46,099,650 shares of common stock at $6.00 per share, including 6,508,650 shares from the full exercise of underwriters' option to purchase additional shares. The company also issued pre-funded warrants to purchase up to 3,800,000 shares at an exercise price of $0.00001 per warrant, sold at $5.99999 each to certain investors in lieu of common stock.
Leerink Partners, TD Cowen and Evercore ISI served as joint bookrunning managers for the offering. LifeSci Capital acted as a bookrunning manager, while Citizens Capital Markets served as co-manager.
The offering was conducted under the company's registration statement on Form S-3 filed with the Securities and Exchange Commission on March 27, 2024, which became effective April 5, 2024. A related registration statement on Form S-3MEF became effective May 4, 2026.
Boston-based Aura Biosciences develops precision therapies for solid tumors designed to preserve organ function. The company's lead candidate, bel-sar (AU-011), is in late-stage development for early choroidal melanoma and early-stage development for other ocular oncology indications and bladder cancer.
