FCPT adds Huntington Securities to $500 million equity distribution agreement
Four Corners Property Trust (NYSE: FCPT) amended its equity distribution agreement to include Huntington Securities, Inc. as an additional sales agent, according to a filing with the Securities and Exchange Commission.
The company entered into Amendment No. 1 to its equity distribution agreement on May 1, 2026. The amendment adds Huntington Securities, Inc. as a sales agent, forward seller, and forward purchaser to the existing agreement that allows for the sale of up to $500 million in common stock.
The original equity distribution agreement was established on October 30, 2025, with multiple financial institutions including Morgan Stanley & Co. LLC, Barclays Capital Inc., BofA Securities, Inc., BTIG, LLC, Evercore Group L.L.C., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, Mizuho Securities USA LLC, Nomura Securities International, Inc., Raymond James & Associates, Inc., Robert W. Baird & Co. Incorporated, Truist Securities, Inc., and Wells Fargo Securities, LLC.
As of May 1, 2026, no shares have been sold under the equity distribution agreement, meaning the full $500 million capacity remains available for future stock sales. The shares have a par value of $0.0001 per share.
The prospectus supplement filing updates the original documentation to reflect Huntington Securities' inclusion in the agreement structure.
