Sprinklr announces two directors will not seek re-election

Sprinklr Inc. (NYSE: CXM) announced that two Class II directors will not stand for re-election at the company's 2026 annual meeting of stockholders.

Yvette Kanouff and Neeraj Agrawal both notified the board on April 23, 2026, of their decisions not to seek re-election. Both directors will continue serving until their current terms expire at the annual meeting.

Kanouff serves on the Nominating and Corporate Governance Committee, while Agrawal serves on both the Audit Committee and Nominating and Corporate Governance Committee.

The company stated that neither director's decision resulted from disagreements with the company, management, or board regarding operations, policies, or practices.

The board approved reducing its size from nine to seven directors, effective upon the retirement of Kanouff and Agrawal at the annual meeting.

To address the departures, current director Stephen M. Ward Jr. will join the Audit Committee, and current director Kevin Haverty will join the Nominating and Corporate Governance Committee. Both appointments take effect at the start of the 2026 annual meeting.
