Allegiant board to expand following Sun Country acquisition

Allegiant Travel Company (NASDAQ: ALGT) announced that its board of directors will expand from eight to eleven members following the completion of its acquisition of Sun Country Airlines (NASDAQ: SNCY). Three current Sun Country board members will join Allegiant's board upon closing of the transaction.



The new board members will include Jude Bricker, Sun Country's president and CEO since 2017, Jennifer Vogel, who has served as chair of Sun Country's board since March 2023, and Thomas Kennedy, a Sun Country board member since 2021.



Allegiant announced the acquisition of Sun Country in January, with the transaction expected to close as early as May 13, 2026. The combined company will operate under the Allegiant name and be headquartered in Las Vegas while maintaining a presence in Minneapolis-St. Paul.



Bricker previously served as Allegiant's chief operating officer from 2006 to 2017 before joining Sun Country. Vogel is a former senior airline legal and compliance executive who served as senior vice president and general counsel at Continental Airlines. Kennedy currently serves as president and CEO of SIXT Rental Car North America and previously held CFO positions at Hertz Global Holdings and other companies.



The acquisition will combine Allegiant's focus on small and mid-sized markets with Sun Country's presence in larger cities, creating more than 650 routes. The combined airline will provide access to 18 international destinations across Mexico, Central America, Canada and the Caribbean.



Maurice J. Gallagher, Allegiant's founder and board chairman, said the addition of the three directors reflects the governance structure established in the merger agreement. The airlines will continue operating separately until receiving a single operating certificate from the FAA.
