Celularity receives NASDAQ notice for late annual report filing
Celularity Inc. (NASDAQ: CELU) received notification from NASDAQ on April 16, 2026, that the company is not in compliance with listing rules due to its failure to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2025, according to a company statement.
The regenerative medicine company said it violated NASDAQ Listing Rule 5250(c)(1), which requires timely filing of periodic financial reports with the Securities and Exchange Commission. The notice does not immediately affect the listing or trading of Celularity's common stock and warrants, which continue to trade on the NASDAQ Capital Market under symbols "CELU" and "CELUW."
Under NASDAQ's listing rules, Celularity has 60 calendar days from receipt of the notice to submit a compliance plan. If NASDAQ accepts the plan, the exchange may grant the company up to 180 calendar days from the original Form 10-K due date to regain compliance.
Celularity stated it is working to complete and file the Form 10-K and expects to do so in the coming weeks. The company acknowledged there is no assurance it will regain compliance within any period NASDAQ may grant.
Celularity develops cell therapies derived from postpartum placenta and focuses on treatments targeting aging and age-related diseases.
