BuzzFeed dismisses Deloitte as auditor, engages CBIZ CPAs

BuzzFeed Inc. (NASDAQ: BZFD) dismissed Deloitte & Touche LLP as its independent registered public accounting firm on April 13, 2026, according to a regulatory filing.

The company's audit committee approved the engagement of CBIZ CPAs P.C. as the new independent auditor for the fiscal year ending December 31, 2026.

Deloitte's audit reports for fiscal years 2025 and 2024 included explanatory paragraphs relating to substantial doubt about BuzzFeed's ability to continue as a going concern. The reports did not contain adverse opinions or disclaimers and were not qualified or modified regarding uncertainty, audit scope, or accounting principles aside from the going concern notation.

BuzzFeed reported no disagreements with Deloitte on accounting principles, financial statement disclosure, or auditing procedures during the two most recent fiscal years and the interim period through April 13, 2026.

The company disclosed material weaknesses in its internal control over financial reporting. While BuzzFeed remediated issues related to information technology general controls, deficiencies remained in the financial statement close process as of December 31, 2025. These deficiencies involved the flow of information and supporting documentation across departments, accuracy and completeness of information used in controls, and precision and timeliness of account reconciliation reviews.

BuzzFeed provided Deloitte with a copy of the regulatory filing and requested a response letter to the Securities and Exchange Commission. Deloitte provided the requested letter, which was filed as an exhibit to the current report.

The company stated that neither BuzzFeed nor anyone acting on its behalf consulted CBIZ CPAs regarding accounting principles, audit opinions, or any matters subject to disagreement during the relevant periods.
