Codexis board director Dennis Wolf resigns, triggers rebalancing
Codexis Inc. (NASDAQ: CDXS) announced that board director Dennis Wolf resigned from the company's board of directors effective April 8, 2026. Wolf also stepped down from his positions on the Audit Committee and Compensation Committee.
The company stated that Wolf's resignation was not due to any disagreement with Codexis regarding its operations, policies, or practices.
Following Wolf's departure, the board restructured its class composition to maintain equal membership across director classes. On April 10, 2026, Esther Martinborough resigned from her position as a Class II director and was immediately re-elected as a Class III director.
Martinborough retained her roles on the Compensation Committee and Strategy Committee, and continues as Chair of the Science & Technology Committee. The company indicated that her board service and committee participation remained uninterrupted despite the technical resignation and re-election process.
The restructuring resulted in the board maintaining nine directors equally distributed across three classes, with three Class I directors, three Class II directors, and three Class III directors. Class II directors have terms expiring at the 2027 Annual Meeting of Stockholders, while Class III directors have terms expiring at the 2028 Annual Meeting.
