Alpha Cognition settles payment obligations for EUR 5.2 million
Alpha Cognition Inc. (NASDAQ: ACOG) entered into a settlement agreement on April 10, 2026, with Galantos Pharma GmbH i.L., a German company in liquidation, according to a company statement.
Under the agreement, Alpha Cognition will make a one-time payment of EUR 5,214,220 to settle remaining contingent obligations, including royalty and milestone-related payments stemming from the Memogain Asset Purchase Agreement dated August 23, 2013.
The original agreement was between Galantos and Neurodyn Life Sciences Inc., with obligations later assumed by Alpha Cognition through the Memogain Technology License Agreement from October 18, 2013, as amended in March 2023.
In exchange for the settlement payment, Galantos agreed to waive and release Alpha Cognition and its related parties from any causes of action arising from the original agreement.
The company stated the settlement amount represents approximately a 40% discount to the estimated market value of the remaining obligations, based on management's assessment of projected future payments and comparable market benchmarks.
