Wellgistics Health Inc. (NASDAQ: WGRX) announced the execution of a joint venture agreement with Kare PharmTech's subsidiary Kare Rx Hub LLC. The partnership combines technology platforms and operations to create an integrated pharmaceutical access and fulfillment system.

The joint venture integrates Wellgistics' technology stack, including EinsteinRx and HubRx AI platforms, with KareRx's digital hub capabilities. The combined platform is designed to streamline prescription processes from intake through fulfillment, according to a company statement.

"This joint venture reflects our continued focus on building an integrated, technology-enabled platform to improve coordination across the prescription journey and support patient access to therapies," said Prashant Patel, chief executive officer of Wellgistics Health.

The collaboration aims to enhance capabilities including eligibility verification, prior authorization workflows, prescription routing, and direct-to-patient fulfillment. The combined ecosystem includes independent pharmacies, provider networks, and telehealth channels with potential reach to more than 200,000 patient lives based on third-party internal estimates.

KareRx operates an AI-driven digital hub supporting retail pharmacy, telemedicine, and specialty pharmaceutical programs. The company maintains relationships with over 500 physician-providers and 200 independent pharmacies.

"This joint venture allows us to extend those capabilities by leveraging Wellgistics' technology stack, pharma expertise, and operational infrastructure," said Mital Panera, founder and chief executive officer of KareRx.

The joint venture remains subject to customary implementation steps. Wellgistics plans to file additional details in a Form 8-K with the Securities and Exchange Commission. The company noted there is no assurance regarding timing or extent of operational integration or realization of anticipated benefits.
