Oracle receives unsolicited mini-tender offer from TRC Capital

Oracle Corporation (NYSE: ORCL) disclosed it received an unsolicited mini-tender offer from TRC Capital Investment Corporation to purchase up to 1 million shares of Oracle's common stock at $140.50 per share in cash, according to a company statement.

The offer, dated March 24, 2026, represents less than 0.04% of Oracle's outstanding common stock. Oracle stated it is not affiliated with TRC and does not endorse the mini-tender offer or its documentation.

Oracle noted that TRC's offer price is below the current market price of Oracle's common stock as of the offer date. The company said it is expressing no opinion and remains neutral regarding whether stockholders should tender their shares in response to TRC's offer.

The offer is subject to numerous conditions and is scheduled to expire at one minute after 11:59 p.m. Eastern time on April 22, 2026. TRC may extend or terminate the offer before the expiration date.

Oracle emphasized that because the offer is for less than 5% of its outstanding shares, it is not subject to many disclosure and procedural requirements of the U.S. Securities and Exchange Commission that apply to larger tender offers. The company advised stockholders to exercise caution and consult with their financial advisors.

Oracle encouraged stockholders who have already tendered their shares to review the terms of the offer, including their rights of withdrawal, and to consult with their financial advisors. The company requested that a copy of its news release be included with all distributions of materials relating to TRC's offer.
