Genie Energy receives NYSE notice for delayed annual report filing

Genie Energy Ltd. (NYSE: GNE) received notice from the New York Stock Exchange on April 1, 2026, stating the company is not in compliance with listing requirements due to a delayed Annual Report on Form 10-K filing for fiscal year 2025, according to a company statement.

The energy company said it cannot file the Form 10-K within the required 15-day extension period because it needs to prepare restated audited financial statements for fiscal years 2024 and 2023. The company stated it is working to file the comprehensive Form 10-K as soon as practicable and expects to meet the six-month deadline outlined in NYSE continued listing standards.

The NYSE notice does not immediately affect the listing of Genie Energy's Class B common stock. If the company fails to file within six months, the NYSE may grant an additional six-month extension at its discretion or commence delisting proceedings if circumstances warrant such action.

On March 19, 2026, Genie Energy released preliminary estimated unaudited financial metrics for the three and twelve months ended December 31, 2025, and filed a Form 8-K with the Securities and Exchange Commission.

The Newark, New Jersey-based company operates as a retail energy and renewable energy solutions provider through its Genie Retail Energy division, which supplies electricity and natural gas to residential and small business customers, and its Genie Renewables division, which provides solar energy solutions.
