TransDigm completes $2.2 billion acquisition of aerospace parts companies

TransDigm Group Incorporated (NYSE: TDG) completed its acquisition of Jet Parts Engineering and Victor Sierra Aviation Holdings for approximately $2.2 billion in cash, including certain tax benefits, according to a company statement.

The aerospace components manufacturer financed the purchase through cash on hand and proceeds from debt offerings completed in February 2026. TransDigm initially announced the acquisition on January 16, 2026.

Jet Parts Engineering, based in Seattle, designs and manufactures aerospace aftermarket solutions, primarily proprietary OEM-alternative parts and repairs. The company serves commercial, regional and cargo airline customers, as well as maintenance, repair and overhaul providers. JPE operates facilities in Washington, Texas, New York, Florida, Alabama and the United Kingdom, employing approximately 300 people.

Victor Sierra Aviation Holdings designs, manufactures and distributes proprietary PMA and other aftermarket parts for the commercial aerospace market, focusing on general aviation and business aviation sectors. VSA operates brands including McFarlane Aviation, Tempest Aero Group and Aviation Products Systems. The company operates from facilities in Kansas, North Carolina and Illinois, with additional locations in Illinois, Texas, Kentucky and Washington, employing approximately 400 people.

Both acquired companies derive nearly all revenue from the commercial aftermarket. The companies collectively generated approximately $280 million in revenue for the calendar year ended December 31, 2025.

Vance Street Capital previously owned both companies before the sale to TransDigm.
