Nano Dimension sells product lines to Inspira for up to $12.5 million

Nano Dimension Ltd. (NASDAQ: NNDM) announced the sale of its additively manufactured electronics and Fabrica product lines to Inspira Technologies OXY B.H.N. Ltd. (NASDAQ: IINN) for up to $12.5 million.

The transaction includes a $2.0 million upfront cash payment and up to $10.5 million in deferred payments tied to the product lines' performance over the next twelve months. Inspira assumed operational control of the product lines immediately, with completion subject to regulatory approvals.

The company expects the transaction to reduce annualized cash burn by approximately $10 million. The sale represents part of Nano Dimension's strategic alternatives review process aimed at maximizing shareholder value.

Following an asset review, management and the board determined the AME and Fabrica product lines were not aligned with the company's priorities. The Fabrica product line had been previously discontinued.

"Today's announcement marks the first of a series of steps to maximize shareholder value and builds on the cost reduction actions initiated in the third quarter of 2025," said Chief Executive Officer David Stehlin. "The sale of the AME and Fabrica product lines will lower our operating costs and cash burn while reinforcing financial flexibility."

Nano Dimension plans to update its 2026 financial guidance on its first quarter 2026 earnings call. The company continues to evaluate additional strategic alternatives to maximize shareholder value.

The transaction builds on cost reduction initiatives the company began in the third quarter of 2025. Nano Dimension provides digital manufacturing technologies to defense, aerospace, automotive, electronics, and medical device industries.
