Oncolytics Biotech completes incorporation change from Canada to Nevada

Oncolytics Biotech Inc. (NASDAQ: ONCY) completed its change of incorporation from Alberta, Canada to Nevada on March 31, 2026, according to a company statement.

The clinical-stage immunotherapy company first continued its existence from Alberta to British Columbia on March 17, 2026, before completing the final transition to Nevada. Shareholders approved the domestication at a special meeting on January 15, 2026.

The company's common stock continues trading on Nasdaq under the ticker symbol "ONCY." The new CUSIP number is 68237V 103, with ISIN US68237V1035. Oncolytics will retain its Calgary office while establishing San Diego as its new headquarters.

"As we no longer qualified as a 'foreign private issuer' under applicable U.S. securities laws, it made sense to overhaul our corporate structure and change Oncolytics' jurisdiction of incorporation to reflect its status as a U.S. domestic issuer," said Chief Executive Officer Jared Kelly.

Oncolytics develops pelareorep, an investigational intravenous immunotherapy agent for cancer treatment. The company has conducted studies in pancreatic, breast, anal and colorectal cancers. Pelareorep received Fast Track designation from the FDA for colorectal and pancreatic cancer applications.

The company stated that most of its investors, management team and capital markets activity are now U.S.-based. The incorporation change aims to provide operational efficiency, streamlined regulatory structure and improved access to U.S. capital markets.
