Lt. General Keith Kellogg joins Powerus board of advisors
Powerus, a drone infrastructure company, announced the appointment of Lt. General (Ret.) Keith Kellogg to its Board of Advisors. The company is pursuing a merger with Aureus Greenway Holdings Inc. (NASDAQ: AGH) that would make it publicly traded.
Kellogg served 36 years in the U.S. Army, retiring as a Three-Star Lieutenant General. His military decorations include the Silver Star, Bronze Star with "V" Device, and Distinguished Service Medal. He commanded the 82nd Airborne Division and served as Director of Command, Control, Communications and Computers for the Joint Chiefs of Staff.
Following military service, Kellogg held executive positions at Oracle Corporation, CACI International, and Cubic Defense Applications. During the Trump administration, he served as Chief of Staff of the National Security Council, Acting National Security Advisor in 2017, and National Security Advisor to Vice President Mike Pence. Most recently, he served as Special Presidential Envoy for Ukraine and Russia.
"Ukraine taught us how big an advantage drones have been to equalize its defense against what should have been a lopsided victory for the Russians," Kellogg stated in the announcement.
Under the proposed merger terms, Powerus will merge with a subsidiary of AGH, with the combined company expected to trade on NASDAQ under the ticker "PUSA." The transaction has received unanimous approval from both companies' boards and a majority of stockholders.
The merger remains subject to regulatory approvals and the effectiveness of a Form S-4 registration statement. The companies expect the transaction to close in summer 2026.
Powerus develops autonomous systems for defense and critical infrastructure applications, with production scaled through U.S.-based manufacturing and strategic partnerships.
