Pulmatrix agrees to acquire Eos SENOLYTIX in $19 million deal

Pulmatrix Inc. (NASDAQ: PULM) announced a definitive merger agreement to acquire Eos SENOLYTIX, Inc., a biotechnology company developing therapies targeting mitochondrial dysfunction in aging-related diseases. The combined company will operate as Eos SENOLYTIX and is expected to trade on Nasdaq under ticker symbol "EOSX."

The transaction includes concurrent private financings totaling $19 million in gross proceeds to support advancement of Eos's lead clinical candidate PTC-2105 for sarcopenia and age-related disease. The financing includes a $1 million investment in Pulmatrix from RCM Eos PIPE Holdings LLC and a bridge component for Eos from RCM Eos Holdings LLC, both managed by Rapha Capital Management.

Following the merger closing and payment of fees, pre-merger Pulmatrix stockholders are expected to own approximately 6% of the combined company, while pre-merger Eos stockholders and financing participants are expected to own approximately 94%.

Eos's proprietary MitoXcel platform focuses on developing gerotherapeutic peptides that target biological mechanisms of aging. The company's lead candidate PTC-2105 is designed to enhance mitochondrial efficiency and eliminate senescent cells. In preclinical studies, the treatment demonstrated improvements in body composition, including increased lean muscle mass and reduced fat accumulation.

Kevin Slawin, founder and CEO of Eos who will lead the merged entity, said the therapy targets underlying mitochondrial-mediated aging mechanisms. Peter Ludlum, CEO of Pulmatrix, stated the transaction provides stockholders opportunity to participate in a company addressing diseases with unmet medical need.

The merger has been unanimously approved by both companies' boards of directors and is expected to close in mid-2026, subject to stockholder approvals and SEC registration statement effectiveness. Palladium Capital Group is serving as financial advisor and placement agent for the transaction.
