Rogers prices US$750 million and Cdn$1.25 billion subordinated notes

Rogers Communications Inc. (TSX: RCI.A, RCI.B) (NYSE: RCI) announced the pricing of two debt offerings totaling approximately US$2 billion equivalent. The Canadian telecommunications company priced US$750 million of 6.875% fixed-to-fixed rate subordinated notes due 2056 in a U.S. public offering and Cdn$1.25 billion of 6.250% fixed-to-fixed rate subordinated notes due 2056 in a Canadian private placement.



The company expects to receive net proceeds of approximately US$740 million from the U.S. offering and Cdn$1.24 billion from the Canadian placement. Rogers stated it will use the proceeds to repay existing debt obligations.



Both offerings are scheduled to close on March 27, 2026. The U.S. notes will be issued under a prospectus supplement filed with the Securities and Exchange Commission as part of an effective shelf registration statement. The Canadian notes were offered exclusively to Canadian residents through a syndicate of agents on a private placement basis.



The U.S. notes are not being offered in Canada, while the Canadian notes will not be registered under U.S. securities laws and cannot be sold to investors outside of Canada.
