Comstock appoints three new independent directors to board

Comstock Inc. (NYSE: LODE) appointed Donald A. Colvin, Steven Y. Pei and Robert M. Spence as independent directors to its board of directors, effective immediately, according to a company statement.

Colvin will serve on the company's Audit and Finance Committee once necessary approvals are obtained. Walter "Del" Marting Jr. will serve as Non-Executive Chairman during a transition period, with Kristin Slanina assuming the Non-Executive Chair role following the company's 2027 Annual Meeting of Shareholders.

William J. Nance and Marting have committed not to stand for re-election at the 2027 Annual Meeting of Shareholders. The appointments resulted from dialogue between the company and shareholders including MAK Capital Fund LP and Gratia Capital LLC.

Colvin serves as a director of Maxeon Solar Technologies and as Audit Committee Chair and Independent Director at Viavi Solutions and Agilysys. He previously held chief financial officer roles at Caesars Entertainment, ON Semiconductor, and Atmel Corporation.

Pei is founder and chief investment officer of Gratia Capital, a Los Angeles-based investment firm established in 2012. He previously served as vice president at Canyon Capital Advisors and worked in Bain Capital's private equity group.

Spence currently serves as a director of Ecobat, a battery recycling company. He served as Senior Vice President, General Counsel and Secretary of Skyline Champion Corporation from 2019 to 2024 and previously held legal roles at Neenah Enterprises and SPX Corporation.

Comstock operates solar panel recycling and metals recovery operations, extracting materials including silver, aluminum and gold from end-of-life photovoltaics.
