Genmab names new board leadership, grants employee equity awards
Genmab A/S (NASDAQ: GMAB) appointed Deirdre P. Connelly as Chair and Pernille Erenbjerg as Deputy Chair of its Board of Directors following the company's Annual General Meeting on March 19, 2026.
The biotechnology company also granted 5,213 restricted stock units and 4,485 warrants to employees across Genmab and its subsidiaries. Each restricted stock unit carries a fair value of DKK 1,645.00, equal to the closing market price of Genmab shares on the grant date.
The restricted stock units will vest on the first banking day of the month following three years from the grant date, subject to conditions outlined in the company's restricted stock unit program. Recipients receive the units at no cost and gain conditional rights to one share of nominally DKK 1 each upon vesting.
The warrants carry an exercise price of DKK 1,645.00 per warrant, with a calculated fair value of DKK 530.62 each using the Black-Scholes formula. The warrants vest three years after the grant date and expire seven years from the grant date. Warrant holders can subscribe to one share of nominally DKK 1 by paying the exercise price.
Both equity compensation programs operate under terms and conditions established by the Board of Directors, with the warrant program originally adopted on February 23, 2021.
