Item 2.02 Results of Operations and Financial Condition

On March 19, 2026, Titan Machinery Inc. (the “Company”) issued a press release announcing its financial results for its fourth quarter and fiscal year ended January 31, 2026. The Company will be conducting a conference call to discuss its full year and fourth quarter of fiscal 2026 financial results at 7:30 a.m. Central time on March 19, 2026. The full text of the press release is set forth in Exhibit 99.1 attached hereto and is incorporated by reference in this Current Report on Form 8-K as if fully set forth herein.
