Tonix Pharmaceuticals changes auditor to PricewaterhouseCoopers

Tonix Pharmaceuticals Holding Corp. (NASDAQ: TNXP) dismissed EisnerAmper LLP as its independent registered public accounting firm on March 16, 2026, and appointed PricewaterhouseCoopers LLP as its new auditor for the year ending December 31, 2026.

The company's Audit Committee approved both the dismissal of EisnerAmper and the selection of PwC. The dismissal was not related to any disagreements on accounting principles, financial statement disclosure, or auditing procedures, according to a company filing.

EisnerAmper's audit reports for fiscal years 2025 and 2024 did not contain adverse opinions or disclaimers, though both reports included explanatory paragraphs about the company's continuing losses and negative cash flows that raised substantial doubt about its ability to continue as a going concern.

During the two most recent fiscal years and the period through March 16, 2026, there were no disagreements between Tonix and EisnerAmper on accounting matters. The company had previously identified material weaknesses in internal controls over financial reporting related to accounting for complex transactions, inventory assessment, and warrant amendments. These weaknesses were remediated by December 31, 2024, and did not result in financial statement restatements.

The information was disclosed in a Form 8-K filing with the Securities and Exchange Commission. EisnerAmper provided a letter to the SEC on March 18, 2026, confirming its agreement with the company's statements regarding the auditor change.
