Acumen Pharmaceuticals raises $35.75 million in private placement
Acumen Pharmaceuticals Inc. (NASDAQ: ABOS) announced it entered into a securities purchase agreement for a private placement of approximately $35.75 million of common stock at $3.30 per share. The clinical-stage biopharmaceutical company develops therapeutics targeting toxic soluble amyloid beta oligomers for Alzheimer's disease treatment.
The private placement was led by existing investor RA Capital Management, with participation from ADAR1 Capital Management, Sands Capital, and another investment management firm. The transaction is expected to close March 16, 2026, subject to customary closing conditions.
Proceeds will primarily support Acumen's Enhanced Brain Delivery program, including preclinical development work to support nomination of a lead clinical candidate. The company targets submitting an Investigational New Drug application for a lead clinical candidate in mid-2027.
Acumen also reported preclinical data from its Enhanced Brain Delivery program, developed in collaboration with JCR Pharmaceuticals using J-Brain Cargo technology. In non-human primate studies, development candidates achieved 14-40 times higher brain levels compared to native antibodies at 24 hours. The studies indicated low potential for anemia with no adverse effects observed and favorable stability profiles supporting subcutaneous administration.
"This financing from committed institutional investors strongly validates our portfolio and our Enhanced Brain Delivery strategy," said Daniel O'Connell, Chief Executive Officer of Acumen, according to the company's statement.
The Enhanced Brain Delivery program is part of an ongoing collaboration between Acumen and JCR announced in July 2025. The securities sold in the private placement have not been registered under the Securities Act of 1933. Acumen agreed to file a registration statement with the Securities and Exchange Commission for resale of the shares within two business days after filing its annual report on Form 10-K for fiscal year 2025.
