NeuroThera to acquire majority stake in quantum clinical trials firm
SciSparc Ltd. (NASDAQ: SPRC) announced that its subsidiary NeuroThera Labs Inc. (TSXV: NTLX) entered into a definitive agreement to acquire approximately 54.01% of CliniQuantum Ltd., a quantum technology company focused on clinical trial platforms.
NeuroThera will purchase 56,375 CliniQuantum shares from existing shareholders in exchange for 56,600,000 NeuroThera common shares valued at approximately $9.46 million based on the 20-day volume weighted average trading price on the TSX Venture Exchange.
The transaction includes potential earn-out payments of up to $2.5 million over three years following closing. These payments depend on milestone achievements including $500,000 for each of the first three patent applications filed by CliniQuantum with the U.S. Patent and Trademark Office or European Patent Office, up to $1.5 million total. An additional earn-out of 7% of NeuroThera fundraising proceeds is available up to $1 million.
CliniQuantum holds patents from Ramot at Tel Aviv University in quantum simulation and quantum Monte Carlo fields. The company develops platforms using quantum computing for clinical trial data analysis.
The transaction closing is expected within 30 days following submission of an Israeli tax ruling application, with an anticipated closing date of March 31, 2026, subject to satisfaction of closing conditions.
SciSparc holds approximately 75% of NeuroThera, a clinical-stage pharmaceutical company developing treatments for central nervous system disorders. NeuroThera's current programs include cannabinoid-based treatments for Tourette syndrome, Alzheimer's disease, autism spectrum disorder, and status epilepticus.
