Ondas to merge with defense contractor Mistral for DOD access
Ondas Inc. (NASDAQ: ONDS) announced a merger agreement with Mistral Inc., a defense prime contractor with experience in U.S. military and federal programs. Under the agreement, Mistral will merge with an Ondas subsidiary while maintaining its contract administration responsibilities.
Mistral, headquartered in Bethesda, Maryland, operates as a prime contractor on U.S. Army and Special Operations Command procurement vehicles for uncrewed and autonomous platforms. The company holds prime contractor status on contracts valued at over $1 billion for various weapon systems, unmanned aerial systems, and drones, according to the press release.
The merger provides Ondas with direct prime contractor access to U.S. defense programs and adds U.S.-based manufacturing and integration infrastructure. Mistral's facilities support manufacturing, assembly, integration, and quality assurance for defense programs.
"Mistral brings decades of trusted performance supporting U.S. defense and public safety customers, along with a highly experienced team that has repeatedly demonstrated its ability to introduce advanced technologies into operational programs," said Eric Brock, Chairman and CEO of Ondas.
Eyal Banai, CEO of Mistral Inc., stated that joining Ondas "represents an exciting new chapter for Mistral" and will allow the company to expand capabilities while maintaining reliability for existing customers.
Ondas operates through business units including Ondas Autonomous Systems, which provides autonomous aerial and ground systems, and Ondas Networks, which offers private wireless solutions. The company's portfolio includes counter-drone systems, robotic platforms, and surveillance technologies through subsidiaries American Robotics, Airobotics, and Roboteam Ltd.
The transaction aligns with Ondas' strategy to expand its U.S. defense presence and transition from standalone deployments to participation in multi-year Department of Defense contract vehicles. Additional terms will be disclosed in a Form 8-K filing with the Securities and Exchange Commission.
