Item 2.02. Results of Operations and Financial Condition.
On November 9, 2022, Dutch Bros Inc. (the Company) announced its financial results for the third quarter ended September 30, 2022. A copy of the press release issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On November 7, 2022 it was determined that John Graham will cease to be the Company’s Chief Marketing Officer effective as of January 4, 2023. Following Mr. Graham’s departure, the Company plans to eliminate the role of Chief Marketing Officer.
Mr. Graham will be entitled to certain severance benefits, all of which have been previously publicly disclosed, pursuant to the terms of his existing agreements, including his participation in the Company’s Amended and Restated Severance and Change in Control Plan, subject to Mr. Graham’s execution and non-revocation of a customary release of claims in favor of the Company.
