Shareholdings of directors and persons discharging managerial responsibility (PDMR)

4 June 2020

As part of its dual listed company structure, Rio Tinto notifies dealings in Rio Tinto plc and Rio Tinto Limited securities by PDMRs to both the Australian Securities Exchange (ASX) and the London Stock Exchange (LSE).

Performance Share Plan 2013 ("PSP")

The PSP is a performance based share plan which provides participants with the conditional right (known as a Performance Share Award or PSA) to receive Rio Tinto plc or Rio Tinto Limited shares, subject to performance conditions being met.

The PSA granted in 2015 is subject to two performance conditions. Two thirds of the award is subject to Total Shareholder Return (TSR) performance and the remaining third to an Earnings based measure of Relative EBIT Margin. The TSR part of the award vested on 27 February 2020. The remaining third of the PSA granted in 2015 vested on 31 May 2020 once the Relative EBIT Margin performance had been established.

On 1 June 2020, the following PDMRs received their vested PSA award in the form of shares, of which sufficient were sold to pay applicable withholding tax and other deductions. The balance that did not vest due to the application of performance conditions has now lapsed.

Our report on payments to governments made by Rio Tinto and its subsidiary undertakings for the year ended 31 December 2019 as required under the UK’s Report on Payments to Governments Regulations 2014 (as amended in December 2015) was filed at Companies House today.  These UK Regulations enact domestic rules in line with Chapter 10 of the EU Accounting Directive.  The report also satisfies the requirements of Rule 4.3A of the Disclosure and Transparency Rules of the Financial Conduct Authority in the United Kingdom.
We also continue to publish, on a voluntary basis, our annual Taxes paid report.  The Taxes paid: Our economic contribution 2019 report is more comprehensive than the mandatory filing and includes the wider payments made by Rio Tinto to governments in each of the main countries in which we operate.
Rio Tinto paid US$7.6 billion of taxes and royalties and a further US$1.3 billion on behalf of its employees during 2019.
Our Taxes Paid report also includes information about our tax strategy and governance, international related party dealings and other disclosures.

Rio Tinto announces details of board-led heritage process review

19 June 2020

Rio Tinto has launched a board-led review of its heritage management processes within Iron Ore following the events at Juukan Gorge, with a focus on recommending improvements to the effectiveness of its internal processes and governance.

The review will be conducted by Michael L’Estrange AO, an independent non-executive director of Rio Tinto, and will seek input from Rio Tinto employees and the Puutu Kunti Kurrama and Pinikura people (PKKP). The review will be informed through engagement with Indigenous leaders, Traditional Owners and subject matter experts.

The review will focus on events at Juukan Gorge and appraise Rio Tinto’s internal heritage standards, procedures, reporting and governance, and will examine the company’s relationship and communications with the PKKP.

The review will commence immediately, with the final report targeted by October 2020, subject to completion of consultative processes with relevant stakeholders.

The review will complement and inform Rio Tinto’s cooperation with the Inquiry by the Joint Standing Committee on Northern Australia. Rio Tinto will also continue to support the West Australian government’s planned reform of the Aboriginal Heritage Act 1972 (WA).

Simon Thompson, chairman of Rio Tinto, said “On behalf of the Rio Tinto board, I would like to apologise to the Puutu Kunti Kurrama and Pinikura people. The decision to conduct a board-led review of events at Juukan Gorge reflects our determination to learn lessons from what happened and to make any necessary improvements to our heritage processes and governance. I am very grateful to Michael for agreeing to conduct the review on behalf of the board.”

We very much look forward to incorporating the findings of the board-led review into our heritage processes and approach.”

Michael L’Estrange AO has been an independent non-executive director of Rio Tinto since 2014. His other appointments have included Secretary to the Cabinet (1996-2000), Australian High Commissioner to the United Kingdom (2000-2005) and Secretary of the Department of Foreign Affairs and Trade (2005-2009).

The review will be made public.

Agreement reached on a preferred long-term power supply for Oyu Tolgoi

29 June 2020

Rio Tinto, Turquoise Hill and the Government of Mongolia have reached an agreement on the preferred domestic power solution for Oyu Tolgoi that paves the way for the Government to fund and construct a State Owned Power Plant at Tavan Tolgoi.

The agreement, which is a revision of the Power Source Framework Agreement (PSFA) signed in 2018, states that the Parties will work towards finalising a Power Purchase Agreement by the end of March 2021. In addition, the amended PSFA sets a proposed timetable for development, with construction of the coal-fired power plant set to begin no later than 1 July 2021, and commissioning within four years thereafter.

Oyu Tolgoi currently uses imported power and both the Government of Mongolia and Oyu Tolgoi have committed to extending the current arrangement to ensure continued stable power is supplied to the mine and underground project until the State Owned Power Plant is commissioned and is able to supply stable, reliable and continuous power.

Arnaud Soirat, Copper & Diamonds chief executive, said, “This agreement provides a potential pathway to securing a domestic power supply for the Oyu Tolgoi mine and underground project for the benefit of all shareholders and the wider community.  We look forward to working with the Government of Mongolia to progress the solution.”
