Synthorx, Inc. (NASDAQ: THOR) 169.3% HIGHER; Sanofi (NYSE: SNY) and Synthorx, Inc. (NASDAQ: THOR), a clinical-stage biotechnology company focused on prolonging and improving the lives of people suffering from cancer and autoimmune disorders, entered into a definitive agreement under which Sanofi will acquire all of the outstanding shares of Synthorx for $68 per share in cash, which represents an aggregate equity value of approximately $2.5 billion (on a fully diluted basis).
XBiotech Inc. (NASDAQ: XBIT) 115.8% HIGHER; announced today that it has entered into a definitive agreement with Janssen Biotech, Inc., a Janssen Pharmaceutical Company of Johnson & Johnson (NYSE: JNJ) to sell XBiotechs novel antibody (bermekimab) that neutralizes interleukin-1 alpha (IL-1). IL-1 promotes disease-causing inflammation in a wide range of medical conditions. Janssen will acquire all rights to bermekimab under the terms of the agreement, and XBiotech will be free to use its True Human Antibody discovery program to develop new antibody therapeutics that target IL-1 to treat non-dermatological diseases. XBiotech plans to re-enter clinical development expeditiously with a next generation anti-IL-1 therapeutic.
ArQule, Inc. (Nasdaq: ARQL) 102.5% HIGHER; Merck (NYSE: MRK), known as MSD outside the United States and Canada, and ArQule, Inc. (Nasdaq: ARQL) today announced that the companies have entered into a definitive agreement under which Merck, through a subsidiary, will acquire ArQule for $20 per share in cash for an approximate total equity value of $2.7 billion. ArQule is a publicly traded biopharmaceutical company focused on kinase inhibitor discovery and development for the treatment of patients with cancer and other diseases. ArQules lead investigational candidate, ARQ 531, is a novel, oral Brutons tyrosine kinase (BTK) inhibitor currently in a Phase 2 dose expansion study for the treatment of B-cell malignancies.
Fate Therapeutics, Inc. (NASDAQ: FATE) 33% HIGHER; announced initial clinical data for its FT516 and FT500 off-the-shelf, iPSC-derived natural killer (NK) cell product candidates.
Diplomat (NYSE: DPLO) 31.7% LOWER; OptumRx, the pharmacy care services business of Optum, and Diplomat (NYSE: DPLO), a provider of specialty pharmacy and infusion services, are combining. The agreement calls for the acquisition of Diplomats outstanding common stock for $4.00 per share through a cash tender offer and assumption of outstanding debt.
PDL BioPharma, Inc. (Nasdaq: PDLI) 18.7% HIGHER; announced today that it has completed the strategic review process that it initiated in September. As a result, the Company has decided to halt the execution of its growth strategy, cease additional strategic investments and pursue a formal process to unlock value by monetizing the Company's assets and returning net proceeds to shareholders.
PG&E Corporation (NYSE: PCG) 17.1% HIGHER; and Pacific Gas and Electric Company (together, PG&E) have agreed to a settlement with the Official Committee of Tort Claimants (TCC) and with firms representing individual claimants who sustained losses from the 2017 Northern California Wildfires and 2018 Camp Fire. The settlement agreement is valued at approximately $13.5 billion and has the support of the TCC. The settlement will resolve all claims arising from those fires, including the 2017 Tubbs Fire, as well as all claims arising from the 2015 Butte Fire and 2016 Ghost Ship Fire in Oakland.
TG Therapeutics, Inc. (NASDAQ: TGTX) 16.9% HIGHER; announced triple therapy data from the Phase I/II study of ublituximab (TG-1101), the Companys novel glycoengineered anti-CD20 monoclonal antibody, in combination with umbralisib (TGR-1202), the Companys oral, dual inhibitor of PI3K delta and CK1 epsilon, and venetoclax, in patients with relapsed/refractory chronic lymphocytic leukemia (CLL). Data from this trial were presented this morning during an oral session at the 61st American Society of Hematology (ASH) Annual Meeting and Exposition.
Agios Pharmaceuticals, Inc. (NASDAQ: AGIO) 12.9% HIGHER; presented translational data describing deep and durable molecular responses to treatment of TIBSOVO® (ivosidenib) and azacitidine and mechanisms of resistance and relapse to single agent treatment with TIBSOVO® in acute myeloid leukemia (AML) with an IDH1 mutation. The data were presented as part of the scientific program at the 2019 American Society of Hematology (ASH) Annual Meeting.
Rocket Pharmaceuticals, Inc. (NASDAQ: RCKT) 10.6% HIGHER; announces preliminary data from its Phase 1/2 clinical trial of RP-L201, the Companys lentiviral vector (LVV)-based gene therapy for the treatment of Leukocyte Adhesion Deficiency-I (LAD-I). LAD-I is a rare immune disorder characterized by low or absent neutrophil CD18 expression, predisposing affected individuals to recurrent and fatal infections in childhood. Data from the first patient treated with RP-L201 demonstrated early evidence of efficacy.

Thor Industries (NYSE: THO) 2% LOWER; reported Q1 EPS of $0.92, may not compare to the analyst estimate of $1.22. Revenue for the quarter came in at $2.16 billion versus the consensus estimate of $2.23 billion.
Macy's (NYSE: M) 1.9% LOWER; Goldman Sachs downgraded from Neutral to Sell with a price target of $12.00 (from $19.00).
