Item 8.01.

Other Events.

On May 6, 2019, Faraj Aalaei, the Chief Executive Officer of Aquantia Corp. (the “Company”), sent an email (the “Employee Letter”) to the Company’s employees in connection with the announcement of the proposed acquisition of the Company by Marvell Technology Group Ltd., a Bermuda exempted company (“Parent,” and the proposed acquisition, the “Merger”). The Employee Letter was first used or made available on May 6, 2019. A copy of the Employee Letter is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

On May 6, 2019, Faraj Aalaei, the Chief Executive Officer of the Company, sent an email (the “Customer Letter”) to certain of the Company’s customers in connection with the announcement of the Merger. The Customer Letter was first used or made available on May 6, 2019. A copy of the Customer Letter is attached hereto as Exhibit 99.2 and is incorporated by reference herein.

On May 6, 2019, Faraj Aalaei, the Chief Executive Officer of the Company, sent an email (the “Vendor Letter”) to certain of the Company’s vendors in connection with the announcement of the Merger. The Vendor Letter was first used or made available on May 6, 2019. A copy of the Vendor Letter is attached hereto as Exhibit 99.3 and is incorporated by reference herein.

On May 6, 2019, Matt Murphy, the President and Chief Executive Officer of Marvell Technology Group Ltd., sent an email (the “Marvell Letter to Employees”) to the Company’s employees in connection with the announcement of the Merger. I am extremely excited about this merger and the opportunity that lays in front of us as we continue the phenomenal journey that we started 15 years ago. It is equally exciting to know that we will continue to develop exciting leading-edge technologies as part of a larger platform with much wider reach from Marvell’s sales and support organizations.

I have had the pleasure of getting to know Matt Murphy, Marvell’s CEO, over the last few months and it is clear that we share the same vision on how to build successful teams and technologies.

I’m very excited that Aquantia and Marvell have signed a definitive agreement to join forces. Together, we are going to create a compelling portfolio of Ethernet PHY products for the growing automotive, enterprise infrastructure, data center and access markets.

Our companies’ PHY product lines are highly complementary, and our combined team will be the best in the world when it comes to mixed-signal design, with highly differentiated skills and proven capabilities in high-speed Ethernet networking.

Over the past few months, I have had the pleasure of getting to know Faraj Aalaei and it’s clear that our organizations are closely aligned in culture, talent and work ethic. Together, we will build one integrated team. In this spirit, I’m especially pleased that Faraj has agreed to stay on and lead the integration of our two teams.

This combination is expected to close before the end calendar 2019. Until then, we need to operate as two separate companies.
