CAS Medical Systems, Inc. (NASDAQ: CASM) 54.8% HIGHER; Edwards Lifesciences Corporation (NYSE: EW) announced that it has entered into a definitive merger agreement to acquire CAS Medical Systems, Inc. (NASDAQ: CASM) (CASMED), a medical technology company dedicated to non-invasive monitoring of tissue oxygenation in the brain. Edwards will acquire CASMED in an all-cash transaction for $2.45 per share of Common Stock, or an equity value of approximately $100 million.

Bristow Group Inc. (NYSE: BRS) 25% LOWER; Bristow Group and Columbia Helicopters, Inc. today announced that Bristow and Columbia have mutually agreed to terminate Bristow's agreement to acquire Columbia. In connection with the termination, Bristow has paid $20 million to Columbia. Bristow, Columbia and Columbia's shareholders have agreed to release each other from all claims in connection with the purchase agreement and the related transactions.

Varonis Systems (NASDAQ: VRNS) 23.3% LOWER; reported Q4 EPS of $0.54, $0.20 better than the analyst estimate of $0.34. Revenue for the quarter came in at $87.5 million versus the consensus estimate of $87.34 million. Varonis Systems sees Q1 2019 EPS of ($0.38)-($0.36), versus the consensus of ($0.23). Multi-Color Corp. (NASDAQ: LABL) 17.1% LOWER; reported Q3 EPS of $0.50, $0.29 worse than the analyst estimate of $0.79. (NYSE: COTY) Class A common stock at a price of $11.65 per share in cash. The offer is subject to, among other things, approval of Cotys independent directors.

Radiant Logistics (NYSE: RLGT) 12.6% HIGHER; reported Q2 EPS of $0.16, $0.05 better than the analyst estimate of $0.11. Revenue for the quarter came in at $260.9 million versus the consensus estimate of $230.01 million.
