Explanation of Responses:
1. The Note bears interest at a rate of 5% per annum.
2. The outstanding principal and all accrued but unpaid interest under the Note is convertible, at the election of the lender Charmnew Limited, on or prior to the maturity date of December 12, 2020.
3. The number of shares represents conversion of the principal amount due under the Note. Additional shares would also be issued based upon the conversion of accrued but unpaid interest.
4. Charmnew Limited is the holder and lender pursuant to the Note. Mr. Li is the sole owner of Charmnew Limited.
