Item 8.01

Other Events.

On November 19, 2018, Hortonworks, Inc. (the “Company”) and Cloudera, Inc. (“Cloudera”) issued a joint press release announcing that the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with the proposed merger of Surf Merger Corporation (the “Merger Sub”) with and into the Company (the “Merger”) pursuant to the Agreement and Plan of Merger and Reorganization, dated as of October 3, 2018 (the “Merger Agreement”), by and among the Company, Cloudera, and the Merger Sub. A copy of that joint press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.

The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger. The closing of the Merger remains subject to the satisfaction or waiver of the remaining conditions to the Merger set forth in the Merger Agreement, including approval of the Merger Agreement by the Company’s stockholders and approval of the issuance of shares of Cloudera common stock in connection with the Merger by Cloudera’s stockholders.

Cloudera and Hortonworks Announce Termination of Hart-Scott-Rodino Waiting Period for Proposed Merger

PALO ALTO, Calif. and SANTA CLARA, Calif., Nov. 19, 2018 /PRNewswire/ — Cloudera, Inc. (NYSE: CLDR) and Hortonworks, Inc. (NASDAQ: HDP) jointly announced today that the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with their previously announced merger.

The termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the merger, which remains subject to other closing conditions in the Agreement and Plan of Merger and Reorganization, dated as of October 3, 2018, by and among Cloudera, Inc., Surf Merger Corporation, and Hortonworks, Inc.
