Associate message

As we have shared in prior communications, the filing of the notice of special meeting, the proxy statement and the form of proxy, which we refer to together as the proxy, is an important step in the process for the proposed acquisition of Forest City by an entity affiliated with a Brookfield Asset Management Inc. real estate investment fund.

The proxy is a document containing important information for stockholders to make an informed decision in voting their stock at a special meeting of stockholders, which we expect will take place in the fourth quarter of this year.

At the end of the day today, Friday, a preliminary draft of the proxy was filed with the Securities and Exchange Commission (SEC).

The preliminary proxy is not the final version of the proxy that will be filed with the SEC and distributed to stockholders and is subject to revisions prior to being distributed to stockholders. However, at more than 200 pages, the preliminary proxy contains extensive background on the proposed transaction. If you would like to read the preliminary proxy, you a can find it on this page of our corporate website.
