On May 2, 2018, the Federal Agricultural Mortgage Corporation (“Farmer Mac”) issued a press release to announce the date and time of the conference call that Farmer Mac will hold to discuss its financial results for the fiscal quarter ended March 31, 2018. Item 8.01    Other Events.

On May 2, 2018, the Board of Directors (the “Board”) of Farmer Mac declared a quarterly dividend on each of Farmer Mac’s three classes of common stock – Class A Voting Common Stock, Class B Voting Common Stock, and Class C Non-Voting Common Stock. The quarterly dividend of $0.58 per share of common stock will be payable on June 29, 2018 to holders of record of Farmer Mac’s common stock as of June 15, 2018.

Also on May 2, 2018, the Board declared a dividend on each of Farmer Mac’s three classes of preferred stock – 5.875% Non-Cumulative Preferred Stock, Series A (the “Series A Preferred Stock”), 6.875% Non-Cumulative Preferred Stock, Series B (the “Series B Preferred Stock”), and 6.000% Fixed-to-Floating Rate Non-Cumulative Preferred Stock, Series C (the “Series C Preferred Stock”). The quarterly dividend of $0.3672 per share of Series A Preferred Stock, $0.4297 per share of Series B Preferred Stock, and $0.375 per share of Series C Preferred Stock is for the period from but not including April 17, 2018 to and including July 17, 2018 and will be payable on July 17, 2018 to holders of record of the Series A Preferred Stock, the Series B Preferred Stock, and the Series C Preferred Stock, respectively, as of July 2, 2018. Each share of Series A Preferred Stock, Series B Preferred Stock, and Series C Preferred Stock has a par value and liquidation preference of $25.00 per share.

Farmer Mac Declares Dividends and Announces Conference Call for First Quarter 2018 Results


WASHINGTON, May 2, 2018 — The board of directors of the Federal Agricultural Mortgage Corporation (Farmer Mac) has declared a second quarter dividend of $0.58 per share for each of Farmer Mac’s three classes of common stock – Class A Voting Common Stock (NYSE: AGM.A), Class B Voting Common Stock (not listed on any exchange), and Class C Non-Voting Common Stock (NYSE: AGM). The quarterly dividend will be payable on June 29, 2018 to holders of record of common stock as of June 15, 2018.

Farmer Mac’s board of directors has also declared a dividend on each of Farmer Mac’s three classes of preferred stock. The quarterly dividend of $0.3672 per share of 5.875% Non-Cumulative Preferred Stock, Series A (NYSE: AGM.PR.A), $0.4297 per share of 6.875% Non-Cumulative Preferred Stock, Series B (NYSE: AGM.PR.B), and $0.375 per share of 6.000% Fixed-to-Floating Rate Non-Cumulative Preferred Stock, Series C (NYSE: AGM.PR.C), is for the period from but not including April 17, 2018 to and including July 17, 2018. The preferred stock dividends will be payable on July 17, 2018 to holders of record of preferred stock as of July 2, 2018.

Additionally, Farmer Mac announced today that it will release its financial results for the fiscal quarter ending March 31, 2018, on Thursday, May 10, 2018, prior to the opening of equity markets. A conference call to discuss the results will be held that day at 11:00 a.m. eastern time.
