Item 3.01.             Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On February 2, 2018, Kimbell Royalty Partners, LP (the “Partnership”) notified the New York Stock Exchange (“NYSE”) that, due to the death of C.O. Ted Collins, Jr. on January 27, 2018, the Partnership was not in compliance with Section 303A.07(a) of the NYSE’s Listed Company Manual that requires all publicly traded companies to have at least three independent directors serving on the Audit Committee. The Partnership has begun a search for a third independent director to serve on the Board of Directors and Audit Committee of Kimbell Royalty GP, LLC, the Partnership’s general partner, and expects to announce the appointment of a new director in a timely manner.
