Ferro Corporation (NYSE: FOE) 22.2% HIGHER; entered into a definitive agreement to be acquired by Prince International Corporation, a portfolio company of American Securities LLC, in an all-cash transaction valued at approximately $2.1 billion, or 12.4 times TTM Adjusted EBITDA as of March 31, 2021, including the assumption of debt, net of cash. Under the terms of the agreement, which has been unanimously approved by the Ferro Corporation Board of Directors, Prince will acquire all of the outstanding common stock of Ferro for $22.00 per share in cash.

Rackspace Technology (NASDAQ: RXT) 20% LOWER; reported Q1 EPS of $0.23, $0.02 better than the analyst estimate of $0.21. Revenue for the quarter came in at $726 million versus the consensus estimate of $724.08 million. Rackspace Technology sees Q2 2021 EPS of $0.21-$0.23, versus the consensus of $0.23. Rackspace Technology sees Q2 2021 revenue of $735-745 million, versus the consensus of $735.04 million. Rackspace Technology sees FY2021 EPS of $0.95-$1.05, versus the consensus of $1.01. Virgin Galactic Holdings (NYSE: SPCE) 19% LOWER; reported Q1 EPS of ($0.55), $0.28 worse than the analyst estimate of ($0.27). Revenue for the quarter came in at $0 versus the consensus estimate of $330 thousand.

Cerecor Inc. (NASDAQ: CERC) 15.4% HIGHER; announced that the U.S. Food and Drug Administration (FDA) has granted Fast Track designation to CERC-002 for treatment of hospitalized patients with COVID-19. CERC-002 is a first-in-class fully human monoclonal antibody targeting LIGHT (tumor necrosis factor superfamily member 14, TNFSF14).

Domtar (NYSE: UFS) 13.3% HIGHER; Paper Excellence, a global diversified manufacturer of pulp and specialty, printing, writing, and packaging papers, and Domtar (NYSE: UFS) (TSX: UFS), a leading provider of fiber-based products, today announced that they have entered into a strategic business combination under which the Paper Excellence group of companies will acquire all of the issued and outstanding shares of Domtar common stock for $55.50 per share, in cash.

Nautilus (NYSE: NLS) 12.7% HIGHER; reported Q1 EPS of $0.93, $0.41 better than the analyst estimate of $0.52. Revenue for the quarter came in at $206.1 million versus the consensus estimate of $159.15 million.

CarLotz, Inc. (NASDAQ: LOTZ) 10.9% LOWER; reported Q1 EPS of ($0.15), $0.01 worse than the analyst estimate of ($0.14). Revenue for the quarter came in at $56.6 million versus the consensus estimate of $43.16 million.

Austerlitz Acquisition Corporation I (NYSE: AUS) 2.3% HIGHER; Wynn Resorts, Limited (NASDAQ: WYNN) and Austerlitz Acquisition Corporation I (NYSE: AUS.U) today announced that they have entered into a definitive agreement under which Austerlitz I will combine with Wynn Interactive Ltd. (Wynn Interactive or the Company), a subsidiary of Wynn Resorts, to create an independent public company. Upon closing of the proposed transaction, the combined company will retain the Wynn Interactive, Ltd. name and relist its shares on the Nasdaq Stock Exchange under the new ticker symbol WBET.
