Marlin Business Services Corp. (NASDAQ: MRLN) 55% HIGHER; announced that it has entered into a definitive agreement in which HPS Investment Partners LLC will, through its European Asset Value Funds, acquire all of the Companys outstanding shares of common stock in an all cash transaction for $23.50 per share, as potentially subject to downward adjustment discussed below, which represents a 65% premium over the closing price of Marlins common stock of $14.24 on April 16, 2021.

Knoll Inc. (NYSE: KNL) 31% HIGHER; Herman Miller, Inc. (NASDAQ: MLHR) and Knoll Inc. (NYSE: KNL) today announced that they have entered into a definitive agreement under which Herman Miller will acquire Knoll in a cash and stock transaction valued at $1.8 billion. The transaction, which has been unanimously approved by the Boards of Directors of both companies, is expected to close by the end of the third quarter of calendar year 2021, subject to the satisfaction of closing conditions.

Clean Energy Fuels Corp. (NASDAQ: CLNE) 25.8% HIGHER; today announced that it has signed an agreement with Amazon (Nasdaq: AMZN) to provide low and negative carbon renewable natural gas (RNG). The fuel will be provided at 27 existing Clean Energy fueling stations and another 19 non-exclusive new or upgraded Clean Energy-owned stations that Clean Energy expects to be constructed by the end of the year. The new and existing stations will provide RNG in 15 different states.

Tonix Pharmaceuticals Holding Corp. (Nasdaq: TNXP) 15.3% HIGHER; announced today an exclusive worldwide licensing agreement for an antiviral inhibitor of SARS-CoV-2, TNX-3500 (sangivamycin, formerly OYA1), for the treatment of COVID-19 and potentially other viral disorders. The active ingredient of TNX-3500 has been studied for safety in humans in prior studies on cancer patients at the U.S. National Cancer Institute but has not been approved for marketing in any jurisdiction.

Herman Miller, Inc. (NASDAQ: MLHR) 12.6% LOWER; Herman Miller and Knoll Inc. (NYSE: KNL) today announced that they have entered into a definitive agreement under which Herman Miller will acquire Knoll in a cash and stock transaction valued at $1.8 billion. GameStop Corp. (NYSE: GME) 11.5% HIGHER; announced that George Sherman will be stepping down as Chief Executive Officer on July 31, 2021, or earlier upon the appointment of a successor. The Board of Directors (the Board) thanks Mr. Sherman for his significant contributions since being appointed Chief Executive Officer in April 2019.

Harley-Davidson (NYSE: HOG) 10% HIGHER; reported Q1 EPS of $1.68, $0.80 better than the analyst estimate of $0.88. Revenue for the quarter came in at $1.42 million versus the consensus estimate of $1.25 million.

Shares of Peloton (NASDAQ: PTON) 6% LOWER; the US Consumer Product Safety Commission (CPSC) issued a warning to consumers about the danger of popular Peloton Tread+ exercise machines.

EMCORE Corporation (Nasdaq: EMKR) 5.6% HIGHER; expects its revenue for the quarter to be approximately $38.4 million compared to its previous revenue guidance range of $34 million to $36 million.

XBiotech (NASDAQ: XBIT) 4.5% HIGHER; announced today that the FDA has granted permission to commence clinical trials with its novel drug candidate for treating patients with pancreatic cancer. From 1992 to 2018 the death rate from pancreatic cancer steadily increased in the USA. It is now predicted that pancreatic cancer will claim 48,220 lives and be the 3rd leading cause of cancer death in the USA in 2021 (National Cancer Institutes Surveillance, Epidemiology, and End Results (SEER) program).
