Item 5.07 Submission of Matters to a Vote of Security Holders.
On June 16, 2022, UiPath, Inc. (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”). At the Annual Meeting, the holders of 384,528,568 shares of the Company’s Class A and Class B common stock were represented in person or by proxy, which represented 95.21% of the voting power of the shares issued and outstanding and entitled to vote, constituting a quorum.
At the Annual Meeting, the Company’s stockholders voted on the two proposals set forth below, (1) the Election of Directors and (2) Ratification of the Selection of Independent Registered Public Accounting Firm. A more detailed description of each proposal is set forth in the Company’s Proxy Statement filed with the Securities and Exchange Commission on May 4, 2022.
At the Annual Meeting, the vote on the proposal to elect nine (9) directors to serve on the Company’s Board until the 2023 annual meeting of stockholders and until such time as their respective successors have been duly elected and qualified or until their earlier death, disability, resignation, retirement, disqualification, or removal from office, was as follows:
