Item 8.01 other events

 

On March 17, 2021, SurgePays, Inc. (the “Company”) and FOURTH MAN, LLC (the “Creditor”) retired the debt the Company owed to the Creditor pursuant to a convertible promissory note issued by the Creditor on February 6, 2020 in the amount of $216,000.

 

In addition, the Creditor agreed to the release of a share reserve in the amount of 15,219,771 shares of the Company’s common stock.
