Item 8.01

Other Events.

On August 9, 2022, S&P Global Inc. (the “Registrant”) entered into two accelerated share repurchase agreements (collectively, the “ASR”) to repurchase, in the aggregate, $2.5 billion of its outstanding common stock. The final settlement of the transactions under the ASR is expected to be completed no later than the third quarter of 2022. The ASR is part of the Registrant’s share repurchase program. As of August 9, 2022, the Registrant has 7.1 million shares remaining on its existing repurchase authority, and on June 22, 2022, the Board of Directors of the Registrant granted an additional repurchase authority of 30 million shares.
