Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 25, 2022, the Company’s Board of Directors appointed Ms. Aine L. Denari as a Class II Director effective June 1, 2022. She will serve on the Audit Committee and on the Corporate Governance and Nominating Committee of the Company’s Board of Directors. Ms. Denari, 49, has served as the Executive Vice President and President of the Brunswick Boat Group, Brunswick Corporation, since 2020. She joined Brunswick Corporation from ZF AG, where she had held the position of Senior Vice President and General Manger, Advanced Driver Assist Systems & Automated Driving, North America.

There are no understandings or arrangements between Ms. Denari and any other person pursuant to which Ms. Denari was selected as a director of the Company. For her service on the Company’s Board of Directors, Ms. Denari will receive compensation in accordance with the Company’s standard compensation arrangements for non-employee directors.
