Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 12, 2022, Darren Richman, a director of F45 Trading Holdings Inc. (the “Company”), resigned as a member of the Board of Directors of the Company (the “Board”), effective immediately prior to the appointment of his replacement nominated by Kennedy Lewis Investment Management to the Board pursuant to the Third Amended and Restated Stockholders’ Agreement of the Company, dated July 14, 2021 (the “Agreement”). Mr. Richman does not serve on any of the committees of the Board. The Company will fill the vacancy on the Board pursuant to the terms of the Agreement and the Company’s governance documents.
