Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 14, 2023, Heather Davis, Senior Vice President, Accounting, Treasury and Tax (principal accounting officer) of Academy Sports and Outdoors, Inc. (the “Company”), notified the Company that she will be leaving the Company to pursue a new opportunity, effective as of September 29, 2023 (the “Effective Date”). As of the Effective Date and until a permanent successor is appointed by the Company, Earl Carlton (Carl) Ford, IV, the Company’s Executive Vice President and Chief Financial Officer will assume responsibility for the function of principal accounting officer. The information regarding Mr. Ford required by Item 401 (b) and (e) of Regulation S-K is incorporated by reference to the Company’s Current Report on Form 8-K filed on July 11, 2023.
