1. Acquired pursuant to the settlement of the performance-based restricted stock unit award granted under Target's 2011 Long-Term Incentive Plan, including dividend equivalents paid on such shares since the grant date. The award was previously reported by the reporting person on January 16, 2015.
2. Includes dividend equivalents paid on performance-based restricted stock units since the date of the reporting person's last filing through the date of the reported transaction that have been reinvested in additional performance-based restricted stock units.
3. Withholding of stock to satisfy tax withholding obligation on vesting of performance-based restricted stock unit award referenced in footnote (1).
4. Shares held in the Target Corporation 401(k) Plan based on the plan statement as of December 31, 2017.

constitute and appoint BRIAN C. CORNELL, CATHY R. SMITH, DON
H. LIU, DAVID L. DONLIN and ANDREW J. NEUHARTH, and each or any 
one of them, the undersigneds true and lawful attorneys-in-fact,
with power of substitution, for the undersigned and in the
undersigneds name, place and stead, to sign and affix the
undersigneds name as director and/or officer of the Corporation
to (1) a Form 10-K, Annual Report, or other applicable form,
pursuant to the Securities Exchange Act of 1934, as amended
(the 1934 Act), including any and all exhibits, schedules,
supplements, certifications and supporting documents thereto,
including, but not limited to, the Form 11-K Annual Reports of
the Corporations 401(k) Plan and similar plans pursuant to the
