Explanation of Responses:
1. C-Bond Systems, Inc. (the "Company") granted to Ms. Tomek 250,000 restricted shares of common stock, par value $0.001 ("Common Stock"), on October 6, 2018; 1,500,000 restricted shares of Common Stock on July 29, 2019; and 1,000,000 restricted shares of Common Stock on April 28, 2020 as incentive compensation during the years of 2018 through 2020. The 2,750,000 shares are fully vested. The Company issued 2,000,000 restricted shares of Common Stock on March 8, 2021, as incentive compensation for her new role as President and a member of the Company's Board of Directors. The 2,000,000 shares of restricted stock vest on May 1, 2022. On July 12, 2019, Ms. Tomek elected to convert $12,000 of deferred compensation owed to her into 300,000 restricted shares of Common Stock. The 300,000 shares of restricted stock vest on May 1, 2021. The aforementioned vesting dates may be extended by mutual consent of the Board of Directors and Ms. Tomek.
2. On December 21, 2020 and January 18, 2021, pursuant to a liability reduction plan, C-Bond Systems, Inc. issued Ms. Tomek 45 shares and 20 shares, respectively, of the Company's Series B Convertible Preferred Stock ("Series B"). The 45 shares and 20 shares of Series B have a stated value of $1,000 per share and are convertible into shares of Common Stock at $0.027 per share and $0.08 per share, respectively, the low trading prices of the Common Stock on the dates of issuance, which prices are subject to adjustment as described in the Company's Certificate of Designations of Preferences, Rights and Limitations of Series B Preferred Stock.
3. The shares of Series B granted to Ms. Tomek vest on May 1, 2021, subject to extension as mutually agreed upon by the Board and Ms. Tomek.
4. No expiration date.
