1. The securities beneficially owned consist of 508 shares that were released to the director immediately upon vesting of a grant of restricted stock units ("RSUs"), after 238 shares were withheld to satisfy her tax withholding obligations, and the other 746 securities represent the remaining 50 percent of the RSU grant that will vest on the one-year anniversary of the grant date subject to her continued service to the issuer.
