Amount beneficially owned:

As of the close of business on October 6, 2021, Teacher Retirement System of Texas owned 2,475,000 units, each unit consisting of one Class A ordinary share, par value $0.0001 per share (the “Ordinary Shares”), and one-half of one redeemable warrant, where each whole warrant entitles the holder to purchase one Ordinary Share (the “Warrants”). The Issuer’s warrants will become exercisable on the later of (a) 30 days after the completion of a Business Combination and (b) 12 months from the closing of the Initial Public Offering.

As of the close of business on October 6, 2021, Teacher Retirement System of Texas may be deemed to have beneficially owned 2,475,000 Ordinary Shares or 7.2% of the Ordinary Shares outstanding, which percentage was calculated based on 34,500,000 Ordinary Shares outstanding as of October 6, 2021, as reported in the Issuer’s Form 10-Q filed on November 19, 2021.
