The Registrant’s delay in filing its Quarterly Report on Form 10-Q for the quarter ended June 30, 2022 (the “Form 10-Q”) is due principally to the closing on June 30, 2022 of the previously announced transaction involving Monarch National Insurance Company and the resulting impact on the Registrant’s quarterly procedures required to complete the Form 10-Q.
