State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

The filing by Novo Integrated Sciences, Inc. (the “Company”) of the Company’s Annual Report on Form 10-K for the fiscal year ended August 31, 2021 (“Annual Report”) will be delayed due to the additional time required by a third party service provider to complete various valuation analyses of the Company’s intangible assets. The Company expects to file the Annual Report no later than December 14, 2021.

The Company anticipates a significant change in results of operations from the fiscal year ended August 31, 2020. However, as indicated in Part III above, the filing by the Company of its Annual Report will be delayed due to the additional time required by a third party service provider to complete various valuation analyses of the Company’s intangible assets. Because the valuation analyses are not yet complete and the results of such analyses impact the Company’s results of operations, the Company is unable to provide a reasonable estimate of the Company’s results of operations for the fiscal year ended August 31, 2021 as of the date hereof. The Company expects to file its Annual Report no later than December 14, 2021.
