ITEM 8.01.
OTHER EVENTS.
 
As previously disclosed, on December 15, 2022, Trean Insurance Group, Inc., a Delaware corporation (the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Treadstone Parent Inc., a Delaware corporation (“Parent”), and Treadstone Merger Sub Inc., a Delaware corporation and a direct, wholly-owned subsidiary of Parent (“Merger Sub”), pursuant to which, subject to the satisfaction or waiver (in accordance with the terms of the Merger Agreement) of certain conditions set forth in the Merger Agreement, Merger Sub will be merged with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly-owned subsidiary of Parent, effective as of the effective time of the Merger.
 
At 11:59 p.m. Eastern Time on January 23, 2023, the waiting period applicable to the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), expired. The expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger. However, the closing of the Merger remains subject to the satisfaction or waiver (in accordance with the terms of the Merger Agreement) of the other closing conditions set forth in the Merger Agreement, including the requisite adoption of the Merger Agreement and approval of the Merger by the Company’s stockholders pursuant to the Merger Agreement and the receipt of all required insurance regulatory approvals (or the applicable regulatory authorities’ non-objection to requests for exemptions in respect thereof), among others. As previously disclosed, the Merger is expected to close in the first half of 2023.
